Material Event Disclosure (General)
Pasifik Holding A.Ş.'s subsidiary, Pasifik Yenilenebilir Enerji Sanayi ve Ticaret A.Ş., resolved at its Board of Directors meeting held on 20.02.2026 to acquire shares corresponding to 30% of the share capital of Konya Gübre Sanayi A.Ş. (the Company), which operates in the fields of bioenergy and organomineral fertilizer production.
In addition, Pasifik GSYO A.Ş., another company within the Pasifik Group, has resolved to acquire shares corresponding to 21% of the same company.
The share transfer agreements have been executed and, within the scope of the share transfer transaction:
• The total transfer price for the 30% stake, corresponding to a nominal value of TRY 840,000, has been determined as TRY 60,000,000, and the transfer price for the 21% stake, corresponding to a nominal value of TRY 588,000, has been determined as TRY 42,000,000; the respective payments have been completed.
• In order to reduce the existing financial indebtedness of Konya Gübre Sanayi A.Ş. and to strengthen its working capital, it has been resolved to carry out a capital increase. Accordingly, a capital advance of TRY 151,765,000 attributable to Pasifik Yenilenebilir Enerji Sanayi ve Ticaret A.Ş. and TRY 106,235,000 attributable to Pasifik GSYO A.Ş. has been paid.
• It has been resolved to change the trade name of Konya Gübre Sanayi A.Ş. to Yeşil Pasifik Gübre ve Enerji Yatırımları A.Ş., and the necessary procedures have been initiated.
The Company continues its operations in bioenergy—one of the future energy solutions that stands out as a sustainable, clean, and environmentally friendly option—by producing electricity and heat energy from biogas generated from organic materials. In addition, it produces organomineral fertilizers from waste materials generated during the process stage.
The Company represents an integrated renewable energy and circular economy platform with:
• Five biogas plants with a total installed capacity of 15.9 MW operating in Konya, Gaziantep, Ankara, Samsun, and Çankırı,
• An organomineral fertilizer production facility with an annual capacity of 80,000 tons,
• Electricity generation agreements with feed-in tariff guarantees under the YEKDEM mechanism,
• Carbon credit generation potential and hybrid solar power plant (hybrid SPP) investment rights.
It is aimed to strengthen the financial structure of the Company in which shares have been acquired, reduce its leverage ratio, and implement the planned capacity increase and hybrid SPP investments with a healthier balance sheet structure, thereby increasing production capacity.
